-- American Reprographics Company (NYSE: ARP) announced today
that it has priced its initial public offering of 13,350,000
shares of common stock at $13.00 per share for gross proceeds
of $173,550,000. In the offering, American Reprographics is
selling 7,666,667 shares and intends to use the net proceeds
of $89,290,000 after underwriting discount and estimated offering
expenses to repurchase preferred equity and repay a portion
of its debt. Certain of the company's existing shareholders
are selling the remaining 5,683,333 shares, of which 4,695,933
shares will come from funds managed by certain affiliates of
Code Hennessy & Simmons LLC. The underwriters have an option
to purchase up to an additional 2,002,500 shares from selling
stockholders, of which up to 1,908,781 shares would come from
funds managed by certain affiliates of Code Hennessy & Simmons
LLC.
Goldman, Sachs & Co. and JP Morgan acted
as book-running managers of the offering. Credit Suisse First
Boston, Robert W. Baird & Co. and CIBC World Markets acted
as co-managers in this offering.

initial public offering of shares of common stock has been
declared effective by the Securities and Exchange Commission.
